Adopted under the authority of the ASIOOMON Constitution. While the Constitution sets the Association's structure, this Code tells members how to behave — and is binding on all members upon registration or renewal.
We, the members of the Association of Independent Online and Offline Multi-Level Marketers of Nigeria (ASIOOMON), commit to upholding the highest ethical, professional, and legal standards in network marketing and direct selling. This Code guides all member conduct to protect the integrity of the industry and the public.
This Code applies to all ASIOOMON members, state coordinators, the National Executive Council (NEC), and the Board of Trustees (BOT). It covers all online and offline business activities, recruitment, training, and representation of ASIOOMON.

This Code of Conduct is adopted under the authority of the ASIOOMON Constitution and is binding on all members upon registration or renewal.

⬇ Download Constitution PDFWe, the members of ASSOCIATION OF INDEPENDENT ONLINE AND OFFLINE MULTILEVEL MARKETERS, a not-for-profit and non-political organisation, do firmly and solemnly resolve to provide for ourselves a constitution and to be governed by the provisions therein contained.
The name of the Association is INCORPORATED TRUSTEES OF ASSOCIATION OF INDEPENDENT ONLINE AND OFFLINE MULTILEVEL MARKETERS OF NIGERIA (ASIOOMON).
The address of the Association shall be:

The aims and objectives of the association are:
(A) The Trustees shall be elected at a General Meeting with responsibility of selecting the Trustees with 2/3 majority votes of members present.
(B) Such Trustees shall not be less than 2 and more than 10 in number.
(C) A Trustee may hold office for 40 years but shall cease to hold office if he resigns, becomes insane, is declared bankrupt, is convicted of a criminal offence involving dishonesty, is recommended for removal, or ceases to reside in Nigeria.
(D) Upon a vacancy occurring, a General Meeting will be held to appoint another eligible member.
(A) The Trustees shall have a Common seal.
(B) Such seal will be kept in the custody of the Secretary who shall produce it when required for use by the Trustees.
(C) All documents to be executed by the Trustees shall be signed by such number of them and sealed with the Common seal.
For effective administration of the Association, there shall be the following meetings:
The Governing Body shall consist of the Board of Trustees.
The sources of income for the Association shall include:
The Association shall disburse funds for the attainment of its aims and objectives. All funds disbursed shall be for the attainment of the Association's aims and objectives only.
The Association shall open either a Saving or Current Account. The Association shall ensure the accurate keeping of record of all income and expenditure.
1. Independent qualified and licenced Auditors shall be appointed by the general meeting to audit the financial records of the Association annually and submit an audited report to the Annual General Meeting.
2. The audited financial statements duly certified by independent auditors shall be annexed to the annual returns and filed with the Corporate Affairs Commission.
The Association may alter the provision of its Constitution at a General meeting by a resolution passed by a simple majority of its members and approved by the Commission.
(1) The income and property of ASSOCIATION OF INDEPENDENT ONLINE AND OFFLINE MULTILEVEL MARKETERS shall be applied solely towards the promotion of the objective of the body as set forth in this Rules and Regulation/Constitution; and no portion thereof shall be paid or transferred directly or indirectly, by way of dividend, bonus or otherwise howsoever by way of profit, to the members of the Association.
(2) Nothing herein shall prevent the payment in good faith, or reasonable and proper remuneration to any officer or servant of the Association in return for any service actually rendered. No member of the Council of Management or Governing Body shall be appointed to any salaried office of the Association.
(3) In the event of a winding up or dissolution of the corporate body, any remaining property shall not be distributed among the members but shall be given or transferred to other institutions having similar objects.
(4) If effect cannot be given to the aforesaid provisions, then the remaining property shall be transferred to some charitable object.
